Aim of the course
The aim of the course is to introduce the students to the basic principles of business contract law, with an overview of EU Law and International Law. Particularly attention will be reserved to the precontractual instruments which reflect preliminary agreements or understanding of one or more parties to a future contract.
Syllabus
The course will first analyses the legal general principles of business transaction in order to understand when a contract, as well as a precontratctual instrument, is legally binding with reference to the following topics:
1. Making a contract.
2. Legal requirements for an enforceable agreement.
3. Letters of comfort or intent.
4. Pre-contractual good faith.
5. Problems of unfair terms in consumer contracts.
6. Impact of European Union Law on contracts and contracting.
7. Analysis of Contract Model.
Examinations
At the end of the course students will be required to write a paper and discuss it with the Lecturer.
